These Terms & Conditions (“Terms”) govern your access to and use of resetclinicals.com (the “Site”) and your purchase of any products from Reset Labs LLC (“Reset Labs,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you agree to these Terms in full. If you do not agree, do not use the Site or purchase our products.

1.1 Research Use Only — Not for Human Consumption

All products sold by Reset Labs are sold strictly for laboratory research and development purposes only. They are not drugs, foods, cosmetics, dietary supplements, or medical devices, and they are not intended to diagnose, treat, cure, or prevent any disease or condition in humans or animals.

By purchasing, you expressly acknowledge and agree that:

  • Products are labeled and sold “For Research Purposes Only.”
  • Products are not for human or animal consumption and shall not be ingested, injected, applied, or otherwise introduced into the body of any human or animal.
  • You will not resell, relabel, or distribute products for any use that is inconsistent with these Terms.
  • You will handle, store, use, and dispose of all products in accordance with applicable laws and accepted laboratory safety practices.

1.2 Eligibility — Age and Capacity

You must be at least 21 years of age and have the legal capacity to enter into a binding contract to use the Site or purchase products. By placing an order you represent and warrant that you meet these requirements. Access to the Site requires acknowledgement of the 21+ requirement.

1.3 Buyer Qualification and Account Requirements

Reset Labs sells to qualified researchers and research organizations. To place an order you must:

  • Create an account; guest checkout is not available.
  • Provide accurate registration information and verify your email address.
  • Identify the research field in which the products will be used (e.g., pharmacology, molecular biology, biochemistry, academic research).
  • Provide the name of the company, institution, or research entity placing the order.
  • Affirmatively acknowledge, prior to checkout, that the products purchased shall not be used for human therapeutic purposes and are for research purposes only.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

1.4 Buyer Representations and Warranties

By placing an order, you represent and warrant that:

  • You are acquiring the products solely for lawful research purposes.
  • You are professionally and technically qualified, or are acting on behalf of an entity qualified, to handle research chemicals safely.
  • You will not use, market, or transfer the products for human or animal consumption or for any clinical, therapeutic, food, cosmetic, or household use.
  • Your purchase and intended use comply with all applicable federal, state, local, and international laws and regulations, including those of the destination jurisdiction.

You assume all responsibility and liability for the proper, safe, and lawful use, handling, storage, and disposal of all products.

1.5 Orders, Pricing, and Acceptance

All orders are offers to purchase and are subject to acceptance by Reset Labs. We may refuse, cancel, or limit any order at our discretion, including where we believe the order may be intended for an unlawful or prohibited use. Prices, product availability, and promotions are subject to change without notice. We make reasonable efforts to display accurate pricing and product information but are not liable for typographical errors, and we reserve the right to correct any errors and to cancel affected orders.

1.6 Lab Reports / Certificates of Analysis

Where provided, certificates of analysis and lab reports are made available for informational and research reference only. They do not constitute a warranty of fitness for any particular purpose and do not authorize any use outside of research.

1.7 Intellectual Property

All content on the Site — including text, graphics, logos, product descriptions, and the Reset Labs name and marks — is owned by or licensed to Reset Labs and is protected by applicable intellectual property laws. You may not copy, reproduce, or use any Site content without our prior written permission.

1.8 Disclaimer of Warranties

To the fullest extent permitted by law, all products and Site content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Reset Labs does not warrant that the products are suitable for any application other than the research use for which they are sold.

1.9 Limitation of Liability

To the fullest extent permitted by law, Reset Labs and its members, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Site or products. In all cases, Reset Labs’ total aggregate liability arising out of or relating to any order shall not exceed the amount you paid for the product(s) giving rise to the claim. You assume all risk and liability arising from any use of the products that violates these Terms, including any human or animal consumption.

1.10 Indemnification

You agree to indemnify, defend, and hold harmless Reset Labs LLC and its members, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use, handling, storage, disposal, or transfer of any product; (b) your breach of these Terms; or (c) any use of the products for human or animal consumption or any other prohibited use.

1.11 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles, and applicable laws of the United States.

1.12 Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product or order shall be resolved exclusively by final and binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court where eligible.

  • Arbitration shall be administered under the rules of a recognized arbitration provider, with the seat of arbitration in the State of Florida.
  • The arbitration shall be conducted on an individual basis only. You and Reset Labs agree to a CLASS ACTION WAIVER: neither party may bring or participate in any class, collective, consolidated, or representative action.
  • The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

If any portion of this Section is found unenforceable, the remainder shall continue to apply, except that the class action waiver is non-severable from the agreement to arbitrate.

1.13 Changes to These Terms

We may update these Terms at any time. Changes are effective when posted to the Site with an updated “Last updated” date. Your continued use of the Site or placement of orders after changes are posted constitutes acceptance of the revised Terms.
